Experience
Wanli Xu is an associate with the Venture Capital Emerging Growth and Technology group, where she represents a wide variety of domestic and international businesses from privately held start-up companies to publicly traded corporations. Wanli’s practice consists of a broad range of corporate matters, including entity formation, private securities offerings, venture capital transactions, mergers and acquisitions, reorganizations and recapitalizations, product distribution and corporate governance. She also has extensive experience in international business transaction, espectially in Asia. Wanli worked as a visiting foreign attorney at the Beijing office of King & Wood in 2007.

- Represented a Canada-based Java software company in sale of Series E Preferred Stock.
- Represented a China-based pharmaceutical company in its corporate governance matters.
- Represented the underwriter in an initial public offering on NASDAQ of a China-based dairy product manufacturing company.
- Represented a multinational telecommunication company in acquiring equity interest in 4 sino-foreign joint ventures as a part of the restructuring efforts of its China operations after its global merger.
- Represented a China-based media company in its merger with a NASDAQ listed company.
- Represented founders of a China-based mobile chipset company in tender offers to acquire controlling interest in the company. Represented the company in the subsequent bridge loans and offering of Series C Preferred Stock.
- Represented a Taiwanese telecommunication company in the acquisition of all outstanding stocks in a China-based media company.
- Represented a privately held e-book service company in issuance of $8 million of Series A Preferred Stock.
- Representation of a China-based software development company in its initial public offering on NASDAQ.
- Represented a China-based Internet advertising and entertainment company in its private offering of $4 million Series A Preferred Stock to Sequoia Capital China.
- Represented a privately held educational institution in the $20 million private offering of its Series A Preferred Stock to Qimin Venture Partners.
- Represented an Abu Dhabi–based, privately held solar technology company in the $30 million private placement of its Series A Preferred Stock.
