Jason Chimon represents both healthcare and general corporate clients in a variety of corporate transactions, including mergers and acquisitions, private equity, venture capital, and joint ventures, as well as technology-based startups from formation, to capital raises, through exit. He also supports the technology transfer and research operations of clients in negotiating various research and clinical trial agreements.
I help my emerging company clients, including those spun-off from academic research institutions, grow their business and raise capital through seed, angel, VC, and private equity financings. This includes advice and negotiation regarding formation, IP licensing, and the other agreements that make up the varied spectrum of issues unique to each start-up client.
I represent both buyers and sellers in the purchase and sale of businesses in a wide range of industries including health services, life sciences, and private equity. I also maintain a robust general business law practice, often acting as outside in-house counsel to handle clients’ day-to-day legal needs.
I work with academic institutions, pharmaceuticals, CROs, and clinical trial sites to facilitate the conduct of clinical research. I also work closely with academic clients to develop and support their technology transfer programs and these institutions’ various technology-driven transactions. My experience with both industry and academic clients has given me the hands-on experience needed to best—and most practically—advise my clients.
Industry will seek to enter the vibrant emerging company space as part of their efforts to seek new ways to integrate and ensure access to burgeoning technologies. This will include increased formation of venture funds to invest in these opportunities in an organized, purposeful way.
