Whether energy transmission or generation, transportation facilities, sports stadiums and arenas, or other major infrastructure—these projects bring together multiple entities that operate under different regulatory requirements, access capital from different sources, often have different goals, and answer to ownership or management teams with distinct strategic priorities. The complexity of the deals requires a legal team with experience and agility.

In 2011, The American Lawyer named two Nixon Peabody partners “Dealmakers of the Year” for their work on the CapX 2020 Utilities transactions. Nixon Peabody is representing all eleven of the CapX 2020 Utilities in connection with five joint venture transactions to expand the electric transmission grid and support renewable energy expansion. The parties themselves recognize the daunting task of harmonizing the view of 11 separate load serving entities consisting of public power entities, investor-owned utilities, and cooperatives. Achieving the mission to document and close each deal with terms satisfactory for the parties to each project requires understanding of each client’s business and related needs. This is where Nixon Peabody attorneys stand apart—our ability to combine deep knowledge of an industry and related transactions with skill forging compromises and coordinating details. And we have the agility to offer creative suggestions and the discipline of project management skills to keep the transactions moving and close the deal.
We have served as project counsel for many types of projects and clients, documenting and closing deals valued in the billions of dollars, year after year. In all instances, we bring to the transaction attorneys that focus on understanding the often highly diverse goals of the parties and have the ability to help the parties forge a common ground. In transaction after transaction, it is the combination of industry knowledge and an understanding of the perspectives of differently situated parties, coupled with the creativity to suggest innovative approaches, which allows Nixon Peabody attorneys to successfully close their transactions.
