Nixon Peabody’s 2009 Annual MAC Survey provides an expanded analysis of publicly disclosed M&A transactions. The survey explores trends in the use of material adverse clauses in M&A deals, and reflects insight on a range of issues, including MAC provisions, MAC exceptions and, most timely, the effect of the credit crisis on M&A transactions. We initiated this annual survey in 2001 and since that time, it has undergone significant expansions of scope and analysis to help identify current negotiation trends and the concomitant advantages and disadvantages provided to transacting parties in mergers and acquisitions.
