    New York, NY. Nixon Peabody is expanding its Corporate practice with the arrival of international finance and M&A  attorney, Michael A. Smith, who joins the firm as a partner in its New York City office.

    With more than 25 years of experience, Michael focuses his practice on cross-border mergers & acquisitions, capital markets, securities law, and global fund formation. He has extensive experience advising on cross-border transactions, including in the cannabis industry. Looking across industries, Michael has worked on deals involving the U.S., Canada, Europe, the Middle East, North Africa, sub-Saharan Africa, Latin America, and China. In addition, he is well-regarded in the Middle East for his experience with novel Shariah-compliant financings and international projects.

    “As the world becomes increasingly interconnected and our clients continue to expand their reach around the globe, Michael’s vast international experience will be a major asset for our clients,” said Christopher Keefe, leader of the firm’s national Corporate practice. “Michael brings a truly unique skillset to our firm and we’re thrilled for him to join us.”

    Michael advises issuers and underwriters on cross-border offerings of equity, high-yield debt, sovereign debt, and structured debt registered with the U.S. Securities and Exchange Commission, including by way of the Canada-U.S. Multi-Jurisdiction Disclosure System, as well as under Rule 144A, Regulation D, and Regulation S.

    Michael has advised U.S. and non-U.S. companies, across a wide range of industries, on their listings with the New York Stock Exchange, Nasdaq, London Stock Exchange, Toronto Stock Exchange, and several other regional exchanges. He also counsels boards, senior management, and private equity firms on corporate governance, deal structuring, and strategy.

    Michael attended law school at Queen’s University in Ontario and earned his B.A. from the University of Toronto’s Trinity College. Beyond his legal practice, Michael is also a long-time advisor to the Duke of Edinburgh’s Award, England’s largest royal charity dedicated to encouraging and recognizing youth achievements.
