Brian Becker is an associate in Nixon Peabody’s Business & Finance Department. Brian handles a variety of business transactions in the areas of mergers and acquisitions, securities, blockchain technology, private equity, and general corporate matters.
I currently focus on assisting our clients in three main areas:
My experience with commercial and corporate transactions ranges from business formation and commercial contract matters to complex mergers, acquisitions, and divestitures. In particular, I have experience assisting clients with cross-border reorganizations and business combination transactions up to one billion dollars in value.
My securities practice is focused on assisting public company clients with reporting obligations to the Securities and Exchange Commission, and on assisting private company clients with various forms of private equity financings. I have closely followed developments in securities laws particularly related to digital coin offerings and equity-based crowdfunding.
I focus my blockchain technology practice on how companies can raise capital through securities law-compliant token sales and how blockchain technology will be used in the future to increase the efficiency of commercial and corporate transactions. I believe that blockchain technology, cryptoassets, and smart contracts will have a significant impact on how companies raise money, transact business, and interact with equityholders in the future.
Trends toward decentralization, transparency and automation continue to accelerate and challenge traditional models of transacting business and governing organizations.
