Jim Broeking works with nonprofit organizations and governmental agencies in accessing the capital markets, focusing his practice on the issuance of tax-exempt bonds. He represents borrowers, underwriters and banks and serves as bond counsel in structuring and documenting transactions. He also represents nonprofit organizations in affiliations and joint ventures.
I work with health care and senior living providers in connection with both taxable and tax-exempt financings, including public debt offerings to institutions and individual investors. I also handle private placements and direct purchases involving banks and other financial institutions.
I advise borrowers and financial institutions in negotiating forbearance arrangements for borrowers defaulting on their debt obligations and guiding nonprofit organizations through bankruptcy proceedings, including the sale of assets and the restructuring of tax-exempt bonds as part of a plan of reorganization.
I advise health care providers implementing hospital/physician strategies and other alliances through acquisitions and joint ventures, including acquisitions of physician group practices and management and co-management arrangements.
Health care and other nonprofit and governmental organizations are being challenged to provide services with fewer resources. The transition to value-based care will drive the demand for creativity in structuring transactions and obtaining capital to support their mission.
