Mary Beth Ciullo is an associate in the Banking & Finance department and Corporate Trust group. She represents indenture trustees, collateral administrators, custodians and collateral agents on collateral loan obligations, collateral debt obligations and other securitizations as well as debt financing and municipal transactions.
I work with the Corporate Trust team to counsel fiduciaries in collateral loan obligations, collateralized debt obligations, custodial arrangements and warehouse facilities. I work with clients through the life of the transaction, from deal origination and closing to redemptions and discharge.
Recent court rulings have created new challenges for indenture trustees in the area of documenting corporate trust transactions. I work with clients to mitigate these risks by thinking ahead and developing clear and creative strategies to avoid issues in the future involving indenture interpretation and amendments.
