Kari K. Harris

Kari K. Harris is a partner in Nixon Peabody’s Fund Formation team and a member of the firm’s Private Equity and Investment Funds group based in the Boston Office. Kari represents private equity funds of funds and other investment advisers and institutional investors in the full spectrum of investment funds and investments. She also applies her recent in-house experience and perspective as general counsel to a global family office and private equity fund to bring effective solutions to clients.

What do you focus on?

Fund formation

I work with investment advisers in connection with regulatory compliance, corporate governance and sponsorship of private investment funds and institutional investors in connection with alternative investments. My private investment fundraising experience includes organization of a full range of private investment funds, including leveraged buyout, venture capital, real estate, senior debt, mezzanine debt and special focus funds.

Fund of funds

My private equity experience includes representing fund of funds clients focusing on primary investments in middle-market leveraged buyout funds, distressed opportunities funds, real estate funds and venture capital funds; traditional and synthetic secondary investments in private equity funds and real estate investments; and direct co-investments in private equity, mezzanine and real estate transactions.


I also represent institutional investors, including institutional domestic and international investors in connection with their alternative investments, including primary investments in hundreds of private equity funds, mezzanine funds, venture capital funds, real estate funds and special focus funds, traditional and synthetic secondary investments and direct co-investments.

What do you see on the horizon?

The private investment fund industry continues to face intense SEC scrutiny, political pressure and the impact of volatility in the global financial markets. Fund managers seeking to raise capital and institutional investors investing in these funds need a trusted legal adviser that understands the regulatory environment in which they operate and has the practical understanding of their business to help them navigate the sometimes murky and often treacherous waters.
