Angeline Suparto is a consultant at Nixon Peabody CWL. Angeline is qualified in Hong Kong, Singapore, United Kingdom and Australian Capital Territory and is an appointed commissioner of oath and notary public in Singapore. She is the founder of Angeline Suparto & Company and its Jakarta-associated office in 2001. The firm was corporatized and renamed to Angeline Suparto Law Corporation (ASLC) in November 2011 and is closely associated with Dau & Tuah, a law firm in Jakarta. ASLC is a boutique law firm focusing on corporate and commercial law in Singapore, with a particular focus on investment and cross-border transactions.

What do you focus on?

For more than 30 years, I have advised clients on cross-border transactions and in particular, the legal aspects of investing and doing business in Singapore, Indonesia and Hong Kong; legal due diligence exercises; joint ventures; mergers and acquisitions; and shareholders’ dispute resolution. I am based in Singapore but travel frequently to Jakarta on client matters and meet with Indonesian agencies to keep abreast of the country’s legal and economic developments. Over the years, my clients include high-net-worth individuals, multinational corporations, public-listed companies, government-linked companies, statutory boards, foreign government agencies and small and medium enterprises with high growth potential.

What do you see on the horizon?

There’s a growing trend of foreign companies using Singapore as a platform for their ventures into ASEAN, particularly within the Indonesian archipelago given the “big bang” liberalisation on foreign direct investments introduced by the Indonesian government in 2016. This, coupled with China’s One Belt One Road initiative, has seen a growth in cross-border transactions within the region, and will likely continue to grow in momentum. Also, with Singapore as an attractive destination as an investment hub, there remain many partnership opportunities between foreign companies (U.S., China, Europe, etc.) with local Singapore businesses.

Representative Experience

Legal Due Diligence (Public Listing)

  • Conducted legal due diligence on the Indonesian subsidiaries of LHN Limited, a Singapore company whose business activities included property investment and development, and logistics operations for the purpose of an initial public offering and proposed listing on the Catalist board of the Singapore Exchange; LDD work included amongst others business license verification, reviewing the Indonesian entities commercial contracts and verification of assets claimed to be owned by the Indonesian entities
  • Acting as Singapore legal advisor for the sponsor in relation to Singapore law for a proposed listing of a Singapore company and its subsidiaries on the Growth Enterprise Market (GEM) of the Hong Kong Stock Exchange; reviewing and commenting on the LDD report prepared by the Singapore company’s legal counsel in respect of its businesses in Singapore namely, fund management, property management, project management and real estate agency
  • Conducted legal due diligence on the Indonesian subsidiaries of a Singapore company in the oil and gas sector for the purpose of an initial public offering and proposed listing on the Singapore Stock Exchange; LDD work included amongst others business licence verification, reviewing the commercial contracts of the Indonesian entities and verifying assets claimed to be owned by the Indonesian entities
  • Acted for ISDN Limited, an SGX-listed company, in conducting due diligence on its Indonesian subsidiaries in the business of constructing and operating hydropower plants, trading and property management for the purposes of dual listing in the main board of the Hong Kong Stock Exchange

Legal Due Diligence (Acquisitions)

  • Conducted legal due diligence on the subsidiaries of a Singapore-listed shipyard company in Batam; work included verifying the classification of land utilisation, other operational permits and licences of the Indonesian subsidiaries, and reviewing employees’ contracts
  • Conducted legal due diligence for a major Singapore trading company in its acquisition of a factory in Surabaya, Indonesia; LDD on land title and corresponding status, verification of operational licence and court searches for legal proceedings against the owning entity of target asset.
  • Conducted legal due diligence on an Indonesian plantation company for a Malaysian-listed company for the purpose of acquiring palm oil plantations in Sumatra and Kalimantan; LDD involved reviewing the plantation licenses, verification of land titles and court searches against the target company
  • Conducting legal due diligence on an Indonesian company including reviewing its corporate kit, licences and approvals; conducting court and insolvency searches on the Indonesian company and its directors, commissioners, and shareholders; and employment and labour, intellectual property and material contracts
  • Acted for a Malaysian-listed company in the acquisition of an Indonesian company in the business of printing and manufacturing cigarette boxes, and conducting due diligence on the target company

Real Estate

  • Acted for a Singapore-listed property development company in connection with its acquisition of 50% of a condominium development in Jakarta CBD area from a listed Indonesian property developer; scope of work included preparation of PPJB (binding sale and purchase agreement) and heavy negotiation of the PPJB and other completion documents; LDD included land title searches and verification of permits and licenses evidencing legal construction of the development; also acted for the same Singapore-listed property development company in its acquisition of 40 units in a residential development in Jakarta CBD area
  • Acted for a Taiwanese company in disposal of assets vis à vis a garment factory in Bandung and two hectares of land on which the factory was situated; the land and building were sold to an Australian buyer through direct sale, in which ASLC prepared the sale and purchase agreement, oversaw the commercial negotiation process and arranged for the transfer of titles of the asset to the purchaser
  • Acted for a Singapore-listed company in connection with its collaboration with a local Indonesian partner for the development of a high-end residential property in central Jakarta including drafting of joint venture and related documentation and working in conjunction with a PPAT (land deeds official), the extension of the HGB land title
  • Conducted due diligence for six plots of land in Lombok with an aggregate land size of 10 hectares for a private investor from Singapore, including advice on complex legal issues arising from the results of the land searches conducted in Lombok
  • Acted for a vendor for the sale and purchase of a plot of land in Bali
  • Acted for a Hong Kong investor with respect to the sale and purchase of land (with villa) in Bali
  • Acted for a regional car distributor in connection with its purchase of land and building in South Jakarta
  • Acting for foreign embassy in conducting due diligence on potential plots of land for acquisition in prime areas in Jakarta
  • Acted for a Singapore company in relation to its rental of a bonded warehouse in North Jakarta
  • Acting for a Malaysian company in reviewing its lease agreement for a factory valued at US $20 million in East Java
  • Acted for a statutory board in China in reviewing its lease agreement in a prime office building in South Jakarta
  • Acted for a Singapore company in the proposed sale of one of its properties in Tangerang, Indonesia
  • Reviewing several lease agreements for Indonesian subsidiaries (domiciled in various locations throughout Indonesia) of a Singapore company in the energy and infrastructure sector
  • Reviewing several lease agreements for Indonesian subsidiaries (domiciled in various locations throughout Indonesia) of a Singapore company in the oil and gas sector
  • Reviewing a lease agreement for an Indonesian subsidiary of a U.S. company in rental of its office in the central business district in Bekasi

Corporate & Commercial

  • Acted for a listed Singapore company in the financing of approximately USD 14 million to, and the securing of its interest in, its Indonesian subsidiary in the shipping business
  • Acted for and advised investors in relation to setting-up of foreign-owned PMA companies and operations in Batam for various lines of businesses
  • Acted for a multinational corporation engaging in oil and gas storage and bulk liquid storage activities in relation to its joint venture with a state-owned enterprise
  • Acted for the majority shareholder in the sale of his majority stake in a Singapore-headquartered Asian food and beverage group to the private equity arm of a global consumer group (reported in Singapore newspapers in late May/early June 2014 and was considered, contemporaneously, as a milestone transaction); the scope of work included review, amendment and heavy negotiations of related documentation with the purchaser; also attending to queries and rectification work from the legal due diligence (conducted by the purchaser) of more than 150 subsidiary entities across Asia Pacific (including China, Japan, Korea, Malaysia, Thailand, Vietnam and India) and the USA, as well as intensive post-completion attendances
  • Advised a Singapore company under a multinational Asian conglomerate on the structuring of its Indonesian subsidiary for the purposes of bidding for shipbuilding contracts with the Indonesian government
  • Acted for a BVI company in the review and completion of its SGD 7 million investment in a limited partnership fund based in the Cayman Islands that owns and operates a rehabilitation centre
  • Acted for a listed Singapore company in the property and construction business in the sale of shares in its Indonesia subsidiary at a consideration of approximately SGD 7.2 million
  • Acted for an Indonesian company owned by a listed Singapore company in the property and construction business in the sale of assets at a consideration of approximately SGD 13 million
  • Acted for a BVI company in the subscription of new shares in a local technology start-up company at a consideration of SGD 2 million
  • Acting for a Singapore-listed company in its joint venture with a foreign fund to own and charter vessel for the oil and gas industry worth US$80 million
