Vincent J. Tennant

Vincent Tennant is an associate in Nixon Peabody’s M&A and Corporate Transactions practice group. Vince represents businesses and funds on a broad range of matters, with a focus on mergers and acquisitions, private investments, corporate transactions, and data privacy compliance. He is a Certified Information Privacy Professional/Europe (CIPP/E), the preeminent credential in the field of privacy.

What do you focus on?

Data Privacy

I advise clients on the changing legal and regulatory data privacy landscape, including on the NY SHIELD Act, CCPA, and GDPR, and develop strategies for creating new privacy programs and leveraging existing regimes to comply with new and updated laws. To accomplish this, I draft external privacy policies, Information Security Plans, data privacy provisions within commercial contracts, and privacy response plans.

Cybersecurity Breach Response

I advise clients in the aftermath of a privacy breach by explaining the regulatory framework of the various applicable data privacy laws while helping to craft a practical and cost-efficient response plan. I manage third-party investigators to ensure complete breach remediation and review forensic reports to fully understand the breach. I draft required notices, provide guidance on consumer or employee communications, and design and implement company policies to mitigate risk and prevent future breaches.

Mergers and Acquisitions

I counsel public and private companies on corporate and business law matters, with a focus on providing strategically drafted agreements, organizational documents and resolutions. Working with companies in a variety of industries, including food and beverage, technology and life sciences, I assist clients through M&A transactions from beginning to end.

Private Equity and Investment Funds

I represent fund sponsors in connection with regulatory compliance, corporate governance and sponsorship of private investment funds. My fund formation experience includes organization of a variety of private funds, including venture capital, real estate and opportunity zones. I also represent funds of funds, pension funds and institutional investors in connection with their alternative investments.

What do you see on the horizon?

As more jurisdictions in the U.S. and around the world implement data privacy laws, companies will experience an increased compliance burden and litigation risk. Increasing consumer awareness of data privacy rights and increasing sophistication of regulators will accelerate the need for companies to build compliance into all aspects of their business.
