Michael Williams is an associate in the Nixon Peabody’s Healthcare group. He represents clients in various corporate transactions and governance matters.
I represent both private and public buyers and sellers in the purchase and sale of businesses in a wide range of industries. I facilitate deals and manage risk for clients by drafting and negotiating transactional agreements and performing due diligence.
I focus on representing public and private companies with respect to their securities law and transactional matters, including the offering and sale of registered and unregistered securities, mergers and acquisitions, reverse mergers, and public-company Securities and Exchange Commission (SEC) compliance. I regularly counsel corporations and their boards in connection with the design, implementation, and administration of corporate governance and compliance programs and general business matters.
I also have experience counseling clients through the Hart-Scott-Rodino (HSR) merger review process at the U.S. Federal Trade Commission and the U.S. Department of Justice.
