Joanna Cohen

Joanna Cohen is an associate in the Health Care group. Joanna represents both for-profit and not-for-profit health care providers on a range of legal matters. As a former in-house counsel for a large health system in New York, Joanna spent five years advising the health system on health care transactions and acquired experience providing practical solutions to complex legal issues.

What do you focus on?

While I have experience advising health care clients on a range of legal issues, my practice currently focuses on the following substantive areas.

Health Care Transactions

I advise health care providers and private equity firms on transactions, including joint ventures, mergers, acquisitions and other contractual arrangements. As part of such transactions, I advise clients on structures that are compliant with applicable law, conduct due diligence, negotiate definitive agreements and advise on regulatory issues that might arise in connection with the transaction.

Fraud and Abuse

I assist clients with navigating their operations and transactions to be compliant with federal and state fraud and abuse laws and regulations, including the federal Anti-Kickback Statute, the federal Stark Law and state law equivalents.

Patient Treatment/Consent/Privacy

I counsel clients with respect to patient consent, medical decision-making and other treatment-related matters and HIPAA compliance. I assist clients with ensuring that their policies and practices comply with HIPAA requirements and advise on a range of privacy matters.

What do you see on the horizon?

I think the future will bring a continued focus on realizing efficiencies in the marketplace and promoting a high quality of patient care. In addition, we may see government work to protect the viability of smaller and rural health care providers, and providers of all sizes seeking to offer behavioral health services. As the federal and state governments pass legislation that affect health care, providers will increasingly become more adaptable and strategic in navigating these changes.
