What do you focus on?

M&A and Corporate Transactions

I represent public and private companies in a variety of matters, including mergers, acquisitions, divestitures, licensing, and other strategic transactions. I provide companies of all sizes with due diligence and early risk detection in M&A transactions, drafting transaction documents and facilitating closing and post-closing mechanics.

IP & Technology Transactions

I regularly advise clients on their branding strategy, conduct trademark clearance searches, prepare and prosecute trademark applications, respond to USPTO office actions, and maintain registrations. I regularly counsel companies and individuals in the commercialization and leveraging of their intellectual property rights and have experience in drafting and negotiating commercial license and technology agreements.

What do you see on the horizon?

An increasing number of companies rely on “web scraping” (extracting large amounts of data from public websites) to support the services that they provide to customers. The website owner’s legal recourse to prevent or deter such scraping is the subject of much litigation. Companies that scrape data (including potential investors or acquirers of such companies) and affected website owners will need to track the latest developments as the courts continue to address this issue.
