Wes Gangi is an associate in Nixon Peabody’s Corporate practice group. His practice spans a broad range of corporate matters, with a focus on mergers and acquisitions; private equity; general corporate transactions; and licensing, distribution and franchise matters.

What do you focus on?

I focus my practice on the following areas:

Mergers and Acquisitions

I counsel public and private companies in connection with mergers, divestitures, strategic acquisitions and other corporate transactions. I assist companies of all sizes in the filing of SEC disclosures as well as providing due diligence and early risk detection in M&A transactions, drafting transaction documents and facilitating closing and post-closing mechanics.


I draft a variety of franchising documents, including franchise agreements, license agreements and purchase and sale agreements. I assist clients in complying with the wide array of disclosure requirements imposed upon franchisors at the federal and state levels, as well as internationally.

General Corporate Practice

I advise public and private companies with a variety of general corporate and business law matters, including formation, restructuring and private offerings.

What do you see on the horizon?

The combination of relatively low interest rates and readily available alternative sources of funding, additionally driven by corporate drive to increasing scale, should result in a steady increase in acquisition activity. At the same time, I expect divestitures to increase, as companies focus strategically on fewer, larger investment areas, offloading non-strategic units. On the franchising front, I anticipate an upsurge in franchising activity with the rapid growth of international markets, especially emerging markets in Asia, Africa and the Middle East.
