James C. Hood



Jim Hood concentrates his practice in the areas of corporate governance, restructuring, acquisitions, mergers, debt and equity financing, shareholder dispute resolution, joint venture formation and distribution arrangements (domestically and internationally), limited liability company formation and strategic partnerships. He acts as general counsel to a number of medium-to-large closely owned companies, primarily in the entertainment and consumer products space.

What do you focus on?

In addition to my general counsel and transactional work, I have acted as issuer’s counsel in serialized mortgage-backed and leased-backed securitization transactions involving large institutional investors such as pension funds and insurance companies.

I have also represented water and gas utilities in rate matters before the New Hampshire Public Utilities Commission and a New Hampshire bank holding company on expansion and bank regulatory issues. Recently, I have been counsel to a number of Swedish environmental, engineering and consumer products companies, concentrating on the development and establishment of their respective U.S.-based corporate structures and business/regulatory relationships. I have been a member of the firm’s Operations Committee, as well as leader for the firm’s Financial Services and Specialty Finance practice group.

I have been a frequent lecturer and author for the New Hampshire Bar Association and National Business Institute. I was a member of the committee that drafted and assisted in the passage of New Hampshire’s current Business Corporations Act and Limited Liability Company Act.

What do you see on the horizon?

Since the U.S. market and economy continues to be the safest and most vibrant for innovation and investment, I foresee sustained increase in cross-border business/corporate transactions, especially in the area of market and company acquisition.

James is a member of the Board of Directors of New Hampshire Businesses for Social Responsibility and the Manchester Economic Development Corporation. Additionally, he serves as a trustee for the Elliot Health System. He is a past member of the Board of Directors of the Manchester Chamber of Commerce, where he chaired the International Trade Committee. He also serves as chairman of New Hampshire’s Statutory International Trade Advisory Committee to the Governor and the Department of Resources and Economic Development. He has previously served as president of both the Greater Manchester YMCA and the University of New Hampshire Alumni Association, as well as chairman of the New Hampshire Bar Association’s Banking and Corporate Law Section.
