Brian Mahoney is an associate in the Business and Finance Department. Brian practices corporate and tax law, emphasizing matters related to commercial transactions, mergers and acquisitions and finance. Brian advises clients regarding federal, state and local tax matters in connection with the formation, growth and divestiture of their businesses.

What do you focus on?

I focus my practice on the following areas:

Corporate and Transactional Tax Matters

I advise our clients with respect to various federal income tax matters, primarily in connection with mergers and acquisitions, commercial transactions, business reorganizations and financing. I also assist our clients with various aspects of New York State tax law, including income tax, corporate franchise tax, sales taxes, and various withholding and reporting obligations. In addition, I routinely advise our nonprofit clients with respect to securing and maintaining their tax exempt status.

Fund Formation

I advise U.S. and non-U.S. fund managers on the tax aspects of forming and investing in domestic and international private equity funds, venture capital funds, credit and debt funds, real estate funds and other investment partnerships.

Venture Capital

I represent individuals as well as private companies and public companies in in connection with structuring, negotiating and closing of venture capital investments.

What do you see on the horizon?

M&A activity and deal flow remains high. Recent US federal income tax reform is affecting deal structures and the material considerations for buyers and sellers alike.
