Nia Newton

Nia Newton is a member of the Franchise & Distribution team. During law school, she served as a student attorney at the Institution for Public Representation Clinic, and interned with The Public Defender Service for the District of Columbia and Arlington County and Falls Church Public Defender.

What do you focus on?

I work with business clients on a range of corporate and finance matters by managing the day-to-day aspects of transactions.


I enjoy working with franchisor clients preparing and updating franchise disclosure documents and agreements. I have experience conducting legal research on the most recent state and international statutes and regulations that govern the drafting, filing and distribution of a franchise disclosure document. I help maintain and prepare domestic and international franchise registrations, ensuring client compliance with state, federal and international franchise regulations.

Corporate Transactions

I assist public and private clients with various mergers and acquisitions, performing due diligence, drafting and negotiating transaction documents and facilitating closing and post-closing mechanics.

What do you see on the horizon?

In light of the 2016 election, there are a significant number of questions and uncertainties about the effect a new administration will have on business transactions, both domestic and abroad. I anticipate the need to follow closely the new legal and regulatory environment and international policies that may affect smaller businesses and, in particular, the franchising industry. Although we cannot know the precise impact the new administration will have on the business and franchising industry just yet, I look forward to helping guide our clients through new regulatory schemes to ensure, protect and expand their abilities to thrive.
