Hunter D. Raines



Hunter is an associate in Nixon Peabody's M&A and Corporate Transactions group.  His practice spans a broad range of corporate matters, with a focus on mergers and acquisitions, corporate finance and commercial transactions.

What do you focus on?

My practice focuses on three primary areas.

Mergers and Acquisitions

I counsel the management of public and private companies across the industrial, manufacturing, technology, transport and service sectors to provide guidance throughout corporate mergers, acquisitions and divestures. I offer clients a business-minded approach to issues presenting in the diligence phase of transactions.

Corporate Finance

I advise companies on privately placing securities with accredited investors. I also provide advice and counsel to companies in connection with commercial lending transactions secured by a variety of corporate assets. I have also assisted with debt restructuring initiatives.

Commercial Transactions and Corporate Counsel

I assist companies of all sizes with the negotiation and preparation of contracts and agreements covering supplier issues, service agreements, employment agreements, contracts for the acquisition and divesture of capital assets and other matters. I also assist companies in various stages of their lifecycle with general corporate issues—including entity selection and formation, board and shareholder issues, shareholder and operating agreements— and other issues presenting to an emerging enterprise.

What do you see on the horizon?

The shifting global political climate will continue to disrupt business as usual by creating both new opportunities and new challenges for companies and investors. For example, recent American infrastructure policy initiatives have outlined unprecedented private investment opportunities in areas that were formerly not open to direct private investment. Given new opportunities for capital dispatch, my role as legal counsel is critical to ensure that downside risk factors, including the potential for enhanced oversight, can be anticipated and mitigated.
