What do you focus on?

Private Equity and Investment Funds

I represent fund sponsors in connection with regulatory compliance, corporate governance and sponsorship of private investment funds. My fund formation experience includes organization of a variety of private funds, including venture capital, real estate and opportunity zones. I also represent funds of funds, pension funds and institutional investors in connection with their alternative investments.

Mergers and Acquisitions

I counsel public and private companies on corporate and business law matters, with a focus on providing strategically drafted agreements, organizational documents and resolutions. Working with companies in a variety of industries, including food and beverage, technology and life sciences, I assist clients by providing early risk detection and due diligence in M&A transactions.

General Corporate Practice

I advise public and private companies on a variety of general corporate and business law matters, including corporate governance, regulatory compliance, securities and private offerings.

What do you see on the horizon?

Blockchain technology, including digital assets, cryptocurrency, smart contracts and tokenization will continue to disrupt the traditional financial industry. Companies utilizing blockchain must address regulatory risk from agencies from across the financial industry, as blockchain applications do not fit neatly into the existing regulatory landscape.
