- Bank of America: Represent one of the largest financial institutions in the world as underwriter’s counsel in a range of transactions, including the award-winning $2.9 billion Los Angeles Unified School District General Obligation Refunding Bonds, recognized as The Bond Buyer’s “Far West Region Deal of the Year” award in 2024. Additionally, we represent them on multiple public power financings for issuers such as Omaha Public Power District, Sacramento Municipal Utility, American Municipal Power, and Nebraska Public Power District, and low-income housing tax credit transactions
- Battery Ventures: Represent a prominent global investment firm specializing in technology-focused venture capital and private equity in its role as lead investor in multiple innovative high-growth companies’ financing rounds
- Citicorp USA: Represent this financial services company in corporate trust matters, including corporate debt transactions and CLO work, as well as in low-income housing tax credit and historic preservation tax credit transactions
- JPMorgan Chase Bank: Represent this global financial institution as bank counsel in a variety of matters, including the $371 million I-77 Mobility Partners LLC Senior Secured Notes, credit facilities for hospitals and health systems nationwide (e.g., Hospital Sisters Health System, American College of Surgeons, Montage Health, Hartford Healthcare, Beth Israel Lahey Health, Northern Lights Healthcare), adversary proceedings, and low-income housing tax credit transactions
- Morgan Stanley: Represent this leading global financial services firm as underwriter’s counsel on municipal financings, including the $300 million Los Angeles Community College District 2022 General Obligation Bonds (tax-exempt and federally taxable) and the $997.9 million California Community Choice Financing Authority 2023 Clean Energy Project Revenue Bonds (Green Bonds, term and SOFR-indexed)
- RBC Capital Markets: Represent this global investment bank as underwriter’s counsel in public power financings—including award-winning deals for California Community Choice Finance Authority, Missouri Joint Municipal Electric Utility Commission, American Municipal Power, and Ukiah Public Finance Authority—as well as in low-income housing and select renewable energy tax credit transactions, and provide advisory support to RBC Community Investments
- Sentinel Capital Partners: Represent a middle-market private equity firm in connection with multiple healthcare industry acquisitions
- State Street Bank and Trust Company: Represent the American multinational and financial services bank holding company across multiple service areas, including employment and compliance litigation, Global Credit Finance commercial real estate and leveraged lending, financing for investment funds, and corporate trust matters such as corporate debt transactions, CLOs, asset-backed securitizations, custodial arrangements, and warehouse credit facilities
- U.S. Bank National Association: Represent this major American multinational financial institution in a wide range of corporate trust matters, including CLO and direct financing transactions, corporate debt and municipal finance deals, CDO business line advisory, repurchase facilities, residential mortgage-backed securitizations, and solar loan–backed note issuances, serving in roles such as trustee, account bank, custodian, paying agent, and securities intermediary. In addition, we also represent the bank in community development finance transactions involving tax credits, including renewable energy tax credits, new markets tax credits, historic preservation tax credits, and low-income housing tax credits.
- A multinational financial institution: Represent the client on US and foreign patent matters related to blockchain technologies, payment systems, machine learning and artificial intelligence, and digital banking technologies; assist in strategic planning and invention harvesting; and manage a patent portfolio of over 250 US and foreign patents
- Financial services and payments clients: Defend clients in civil enforcement actions brought by state and federal agencies, including state banking and consumer-protection regulators and the US Consumer Financial Protection Bureau, as well as in private lawsuits and class actions under state and federal consumer-protection laws. Also assist with internal audits and investigations, preparation for supervisory examinations, and responses to regulatory investigations.
- Banks, mortgage lenders, credit card issuers, retailers, and other consumer-facing financial services companies: Represent clients in matters involving credit reporting, debt collection, open banking, consumer-bankruptcy compliance, consumer privacy, the Telephone Consumer Protection Act (TCPA), and state unfair and deceptive practices laws
