    Introduction

Kristen Fallon represents financial institutions, REITs, and funds in large, commercial, unsecured, and secured credit facilities. She also represents lenders and sponsors in connection with the financing of real estate projects, portfolio lending, unsecured credit facilities, REIT financing, construction lending, loan participations, loan workouts, and restructurings.

    /My focus

I represent financial institutions in large commercial transactions where the underlying collateral is real estate, regardless of whether we necessarily secure the assets. Many of my transactions involve working with financial institutions on unsecured facilities due to the fact that the sponsor has reached a certain investment-grade status. I advise financial institutions in secured and unsecured credit facilities in the REIT and fund finance space, and I also have significant experience representing banks in data center and healthcare transactions.

I also represent REITs, developers, and funds in the acquisition and financing of various real estate-related projects, mergers and acquisitions, joint ventures, and other general corporate matters.

I am excited by the opportunity to represent REITs, developers, and funds in the acquisitions and financing of real estate projects, as well as large borrowing base and unsecured facilities. NP’s national platform will enable me to organically grow my national practice, and the firm’s multi-disciplinary nature will allow me to cross-sell practices to my clients.

    /Representative experience

Kristen joined Nixon Peabody in September 2023. The representative work set forth below may reflect experience from prior firms.

    • Representation of agent in a $200,000,000 unsecured facility for multi asset portfolio of properties
    • Representation of agent in the note sale for $77,000,000 loan of an office building in Florida
    • Representation of agent in the restructuring of a $90,000,000 term loan facility
    • Representation of agent in a $1.75 billion unsecured revolving line of credit to a healthcare REIT
    • Representation of agent in a $900 million borrowing base facility for construction of data centers
    • Representation of agent in a $465 million revolving line of credit for acquisition of IOS and final mile assets
    • Representation of agent in a $200 million revolving facility secured by equity pledges of healthcare clinics
    • Representation of agent in a $137 million acquisition of a commercial office building in downtown Chicago, Illinois
    • Representation of agent for a syndicate of lenders in a $600 million unsecured revolving credit facility
    • Representation of agent in a $200 million unsecured revolving line of credit
    • Representation of agent in a $250 million term loan secured by mortgages on 35 properties across the US
    • Representation of agent in a $100 million revolving line of credit secured by equity pledges established for a private REIT
    • Representation of a national bank, as administrative agent, in connection with a $100 million construction loan for multi-block commercial retail shopping complex located in Florida
    • Representation of agent in financing of two healthcare facilities secured by mortgages and operating accounts with IGT income
    • Representation of syndicate of lenders in connection with a $70 million revolving credit facility secured by a portfolio of properties located throughout the US
    • Representation of a national bank, as administrative agent and lender, in connection with a $98 million acquisition of two high-rise apartment buildings on the Gold Coast of Chicago, Illinois
    • Representation of a national bank, as administrative agent and lender, in connection with a $69 million bridge financing for two healthcare facilities located in Texas
    • Representation of lead lender in a $30 million warehouse line of credit with subordinated institutional creditors
    • Representation of a syndicate of lenders in a $200 million unsecured revolving credit facility

    /Looking ahead

Rising interest rates will tend to stress many existing facilities as they try to navigate this new chapter in real estate finance. Given my extensive experience in real estate lending, being able to assist both financial institutions and debtors during this difficult time will be critical to the survival of some REITs, developers, and funds.
