Rick Jones represents educational institutions, nonprofit entities, underwriters, and technology companies in structuring and executing financings, in matters involving disclosure to prospective investors, in issues relating to governance, and on a variety of other business issues.
My focus is on structuring and documenting financings. My clients include corporate issuers, for whom I have done a number of equity and debt financings, and governmental and nonprofit clients, for whom I have done many billions of dollars’ worth of tax-exempt and taxable financing. My work for my corporate clients also includes mergers and acquisitions, securities law compliance, deferred compensation plans and corporate structure and governance issues.
I am also part of the firm’s California drought task force, which thinks strategically about the risks that our clients face due to the drought, as well as our clients’ related opportunities for financing, sustainability, water conservation, infrastructure, innovation and more to stay ahead of these challenges.
I see opportunities for my corporate clients expanding as the economy continues to improve. I see fund raising becoming somewhat easier for my early stage companies, with more opportunities for exits. For my government and nonprofit clients, I see some budgetary easing, but also see a more expensive financing environment as interest rates rise with the improving economy.
