I advise issuers, borrowers, underwriters, and other financing participants on federal tax matters related to the structuring and issuance of tax-advantaged obligations. In addition, I advise issuers and borrowers on post-issuance matters related to compliance with the federal tax code, including private use concerns, arbitrage rebate issues, and other various compliance matters.
I represent clients in Internal Revenue Service audits and voluntary closing agreements, and I also assist various types of organizations in obtaining nonprofit or governmental tax-exempt status.
As financing structures become increasingly complex, issuers and borrowers need attentive and practical guidance for their tax-advantaged obligations and need to work closely with tax counsel to achieve their financing objectives and comply with federal tax requirements.
