Introduction
Kelly Xiang focuses her practice on cross-border matters involving China, including all forms of foreign direct investments in China, market entries, mergers and acquisitions, commercial franchising, labor and employment, immigration, taxes, licensing, regulatory issues, general corporate matters and IP-related matters including trademark, branding and licensing.
My focus
My combination of experience in both common law system and civil law system makes me the ideal lawyer for handling cross-border matters. I have advised US or European companies in different industries in connection with their China operations, including entity formation, business related agreements and related employment, tax and immigration matters. In addition, I have advised US companies selling their equity to Chinese companies, and acquiring equity, business or assets of Chinese companies. I also perform due diligence to identify and handle actual and potential legal liabilities and obstacles in the target company to ensure a successful acquisition. I team with our colleagues in the US to assist Chinese or Asian companies with their investment into the US, providing clients with strategic advice on legal and tax structures.
