Representative experience

• Merck KGaA: Represented a German science and technology company and its subsidiaries in multiple transactions, including its acquisition of FloDesign Sonics, Inc. and Intermolecular, Inc.
• Health Catalyst: Represented a leading provider of data and analytics technology and services to healthcare and life sciences organizations in its acquisitions of Healthfinch, Inc., VitalWare, LLC, Twistle, Inc., and KPI Ninja, Inc.
• Boston Beer Company: Represented the producer of Samuel Adams beers, America’s second largest-selling craft beer, and Angry Orchard, Twisted Tea, and other brands, in numerous corporate transactions and investments, including its $300 million acquisition of Dogfish Head Brewery
• Constellation Brands Inc.: Represented a leading international producer and marketer of beer, wine, and spirits in numerous strategic corporate transactions, including the sale of more than 30 wine and spirits brands and related assets to E. & J. Gallo Winery for a total of approximately $810 million
• Paychex Inc.: Represented a provider of payroll, human resource, and benefits outsourcing services for small- to medium-sized businesses in a number of corporate transactions, including its $1.2 billion acquisition of Oasis Outsourcing Acquisition Corp., the nation’s largest privately owned professional employer organization
• Capax Global LLC: Represented a Chicago-based technology company focused on cloud solutions in connection with its sale to Hitachi Solutions America, Ltd.
• Northfield Medical: Represented a leading medical instrument repair company in multiple acquisitions, most recently its $475 million sale to Agiliti Health, Inc.
• ThoughtWorks, Inc.: Represented a global software consultancy in its acquisition of Gemini Solutions, LLC.
• Hannibal Industries: Represented North America's largest manufacturer of pallet racks and a leader in the material handling industry in its $370 million sale to Nucor Corporation
• Saes Getters S.P.A.: Represented a publicly traded company based in Italy in the $355 million sale of its pure gas manufacturing business to Entegris, Inc.
• Refresco Group N.V.: Represented the world’s largest independent bottler of soft drinks and fruit juices in its $1.25 billion acquisition of Cott Corporation’s worldwide bottling business
