    New York to Increase Scrutiny of Healthcare Transactions

    New Article 45-A of the Public Health Law requires detailed disclosures to the New York State Department of Health and Attorney General, at least 30 days before closing. What’s the Impact? Health care entities, including physician practices and MSOs, will be required to disclose the details of “material transactions” to DOH, at least 30 days prior to closing.  DOH will forward the disclosures to the AG.  Failure to disclose may result in civil penalties of up to $2,000 per day. The law takes effect August 1, 2023.  To clarify and implement the law, DOH will need to propose and adopt regulations, which will take substantially longer.  However, DOH may attempt to implement the law through subregulatory guidance.     Select health-related provisions in New York’s FY 2025–26 Budget

    Alert

    Some programmatic healthcare provisions from the Executive Budget were included; many were not. What’s the impact? The Budget contains certain discrete non-financial provisions that impact healthcare stakeholders. While the Budget brings new Medicaid health benefit carve-outs, PBM rules, and mental health measures, key laws on transactions, medical debt consent, and provider scope of practices remain unchanged.

    Governor Hochul’s Executive Budget would substantially increase the State’s oversight of healthcare transactions What’s the impact? The Executive Budget also includes substantial proposed changes to laws governing managed care, reproductive health, professional licensing, scope of practice, and more. The Executive will continue to negotiate with the State Legislature until final bills are enacted, on or about April 1, 2025.
