Amy Charamba advices financial institutions who provide fiduciary and agency services to the capital markets. She represents clients on all types of financial products, from municipal finance to CLO securitizations, from start to finish, through origination, amendments, default and litigation. She also represents conduit issuers in connection with the issuance of revenue bonds. Amy is the team leader of the Corporate Trust team of the Banking & Finance group.
Today, I leverage over 20 years of experience in representing corporate trustees across all product lines, throughout their life, from origination to termination and in between. I understand their business. I use my broad market experience and knowledge of their business to guide them as they grow their business and help them respond to the needs and demands of their customers and investors.
I advise clients in connection with their new deal engagements—from negotiation and closing of CLO transactions to corporate debt issuances. I work with them in the ongoing administration of these deals—from document interpretation to amendments and redemptions.
I provide creative and practical guidance to trustees across all aspects of all product lines, including in bond administration, reporting and bondholder communications as well as in connection enforcement of rights. I have extensive experience in advising trustees on servicing, collateral and reporting issues as well as the unwinding of trusts and other transitional issues, including pool liquidations and the marketing and sale of whole loan portfolios. I also advise trustees on their roles in defaults under CDO and RMBS and ABS transactions, assisting trustees in working with portfolio managers, servicers and investors. I advise trustees in dispute resolution between investors and portfolio managers as well as among investors of various note tranches.
I advise clients in the exercise of their rights and obligations under various securitization documents, including dispute resolution and enforcement of repurchase rights and remedies. Working with a core team of corporate trust lawyers who know this business inside and out, as well as a full support team of litigation, bankruptcy and securities lawyers, among others, I help our clients navigate through an ever changing market and regulatory climate. Currently, we are working with our trustee clients in matters arising out of the put-back of mortgage loans to sponsors and originators.
I also practice in the area of public finance, having participated in the issuance of numerous public and private tax-exempt financings, both as issuer’s counsel and as bond counsel. My experience includes the representation of local industrial development financing authorities in connection with tax-exempt financings as well as the representation of quasi-public private entities in project financings.
The economic and regulatory climates in which my clients operate continue to be challenging and in flux. The market place is extremely competitive. As a trusted advisor, my role is to partner with my clients to help them increase their market share and guide them in meeting ever-changing challenges.
