Keri A. McWilliams



Keri McWilliams is a member of the Franchise & Distribution team. She represents franchisors, franchisees and distributors in all aspects of their corporate relationships. Keri is also a member of the Food and Beverage Team.

What do you focus on?

I focus on working with franchisor clients to prepare and update franchise agreements and franchise disclosure documents, obtain and maintain franchise registrations in the United States and comply with state, federal, and international franchise regulations.

As a counselor, I provide franchise sales counseling to franchisors and franchisees as well as advice regarding franchise system issues such as joint employer liability, FDA menu labeling compliance, and international development. As a litigator, I have handled a wide range of general commercial cases including copyright, trademark and other intellectual property disputes; breach of contract cases; non-competition disputes; collection cases; and shareholder disputes.

What do you see on the horizon?

I see continued growth in domestic and international franchising as franchisors look for new opportunities to expand and business owners see franchising as an investment that complements their business goals.

In 2014, Keri was recognized by Washington DC Super Lawyers as a “Rising Star” in the area of franchise and dealership.

Keri is a member of the American Bar Association’s Forum on Franchising, and the Federal and Minnesota State bar associations. She is also a member of Minnesota Women Lawyers and the Minnesota Association of Black Lawyers, and a volunteer in the Volunteer Lawyers Network.

Keri is an associate editor of The Franchise Lawyer, an American Bar Association publication.
