    Introduction

    Matthew Bobrow advises private investment funds, public pension funds, and institutional investors on private equity investments and fund structuring.

    /My focus

    As part of the Private Equity & Investment Funds team, I represent investors and sponsors throughout all stages of a fundraise including fund formation, the offering process, side letter negotiations, placement arrangements, secondary transactions, and regulatory and governance matters. In addition, I represent investment managers including U.S. registered investment advisers and exempt advisers.

    Before joining the firm, I practiced as a corporate associate, counseling emerging growth companies and small startups on how to raise private capital; complete an acquisition, merger, restructuring, or sale; and conduct a de-SPAC or an initial public offering, including completing related public filings. In addition, I have advised a number of well-known sponsors and investors, including one of the world’s largest investment fund sponsors and several of the nation’s largest and most active institutional investors.

    /Looking ahead

    Changes to the U.S. Federal Reserve’s interest rate policy will likely mean a recalibration of funds’ investment objectives, including a pullback from emerging markets and other risky asset classes, given the increased yield investors will be able to find in the U.S. domestic market. Certain areas that are currently in focus, such as Europe, will remain. The presidential election will not materially deter investment unlike global political risks stemming from the Russian presence in Ukraine, and increased conflict in the Middle East, each of which has the potential to cause global economic shocks. The changes in the SEC’s Private Fund Rules will likely prevent the use of some well-known practices (e.g., with regards to side letters) and will lead to the creation of new ones. Overall capital raising and deal activity should continue at a steady clip as the market continues to produce opportunities as a result of the Fed’s planned soft-landing.
