Eric Brenner, counsel in Nixon Peabody’s Project & Public Finance group, serves a wide variety of clients, including financial institutions, issuers, underwriters, and borrowers on taxable and tax-exempt public finance transactions.
My focus
Bond Counsel
In my capacity as bond counsel to issuers, I advise on conduit bond financings for a diverse array of nonprofit organizations, thereby facilitating access to tax-exempt capital for projects. These matters have encompassed financings for projects benefiting healthcare providers, private schools, charter schools, institutions of higher education, and other nonprofit entities. In addition to issuer-side representations, I also represent underwriters in municipal bond transactions, with a particular focus on structuring complex financings and drafting and negotiating related transaction and security documentation.
Bank Counsel
I routinely serve as bank counsel in transactions involving healthcare providers, institutions of higher education, and other nonprofit entities. I negotiate and structure credit facilities in connection with the direct purchase of privately placed bonds. In the course of this practice, I have also represented financial institutions in the issuance of letters of credit and standby bond purchase agreements used to support a wide range of municipal bond financings. My experience spans transactions involving variable and fixed-rate bond issues, revolving and term credit facilities, and other secured or unsecured lending transactions.
Economic Development
I represent industrial development agencies in connection with projects providing sales and use tax abatements, mortgage recording tax exemptions, and payment-in-lieu-of-taxes agreements. I advise on the structuring of projects intended to facilitate private-sector investment and economic development.
Borrower Counsel
I represent borrowers in connection with the structuring and negotiating of tax-exempt and taxable financing transactions, including preparing, reviewing, and negotiating the related financing and ancillary documentation.
Looking ahead
I will continue to actively monitor and analyze the changing landscape that clients face in complex financing transactions. Looking ahead, I am focused on maximizing client goals by capturing opportunities through effective and efficient strategies.
