Introduction
Steven Hanton is a partner in Nixon Peabody’s Corporate Trust and Banking & Finance practice groups. He often represents banks and other financial institutions that provide corporate trust, fiduciary, and agency services in structured finance and capital markets transactions.
Steve advises trustees, agents, and other fiduciaries in asset-backed securitizations, collateralized loan obligations (CLOs), corporate and public finance transactions, and other alternative structures. He also counsels lenders, emerging companies, and other institutions in structuring and negotiating transactions in both debt and equity finance, representing lenders in complex lending arrangements and emerging companies in different stages of equity financing.
My focus
Corporate Trust
Leveraging over a decade of sophisticated corporate trust experience, I advise trustees and other fiduciaries on every aspect of securitization and structured financings as they grow their business and in an ever-evolving financial environment. At the origination of the deals, I help our clients negotiate potential issues related to new securities issuances. I also work with our clients towards the winding up of these same deals by helping them complete optional redemptions and liquidations. Throughout the lives of these deals there may be issues that arise, and I also work with our clients in resolving these issues and minimizing their potential risk exposure.
Looking ahead
With the increased deal flow across industries and structured products, as well as regulatory changes, the transition from LIBOR, and trends in litigation, we see both opportunity and risk for structured finance participants. I am an active partner and advisor to our clients as they navigate these complex environments and grow their businesses.
