Andrew Pearce is an associate in the Corporate Practice group. Andrew is primarily focused on representing underwriters and public and private companies in corporate transactional matters, with an emphasis on securities offerings, corporate governance, and reporting requirements for publicly traded companies.

Securities and Capital Markets
I regularly represent domestic and foreign companies and investment banks in public and private offerings of equity and debt securities. I also advise publicly traded companies on compliance with federal securities laws and stock exchange rules, SEC reporting and disclosure issues, and corporate governance matters.
Looking ahead
While we've seen continued deal activity, the dynamics driving issuance and financing strategies are shifting. Market windows are opening and closing quickly. Sponsors are adapting to a more constrained M&A environment, and capital providers are recalibrating where and how they deploy funds.
