Carolyn Yi-Medina has more than 25 years of experience as a paralegal. She assists with financings involving cultural, nonprofit, and higher education institutions; student loans; healthcare facilities; housing and transportation facilities; public power facilities; airports; stadiums; and arenas.
I work closely with attorneys on a variety of project finance, infrastructure finance, and public finance transactions. I also assist on transactions involving derivatives and swaps, liquidity facilities, and bank loans in addition to real estate, corporate, infrastructure, and public-private partnerships (P3) transactions.
In my practice, I provide support to attorneys with drafting, organizing, and tracking documents; review of due diligence materials; and assist with pre-closing, closing, and post-closing matters. I oversee execution and recordation of appropriate documents, prepare and file UCCs, order lien searches with vendors, prepare lien summary to include UCCs and court filings, and coordinate post-closing lien searches with vendors. I also review transactional documents prepared by co-counsel and outside counsels and provide comments and redlines to the deal team; assist with the formation of new entities; draft organizational documents such as corporate resolutions, by-laws, consents, and incumbency certificates; obtain Employee Identification Numbers (EINs) for the entities; assist with EMMA filings; and prepare and distribute hard copy/electronic closing sets and CDs.
