Fred Grein is a member of the firm’s M&A and Corporate Transactions group.
Fred serves as outside general counsel to his clients, advising on a broad range of business issues, including in the areas of business strategy and planning, corporate governance, mergers and acquisitions, joint ventures, securities (including debt and equity financing), executive compensation and other business matters. Fred’s business clients range from start-up situations to public companies and include consumer products companies, manufacturers and distributors of capital equipment, professional service companies, software developers, and various e-commerce businesses. In addition, over the last several years, Fred has devoted over 100 hours annually, serving as pro bono general counsel to two Massachusetts-based nonprofit organizations, Homes For Our Troops and Gifts to Give.
I believe that government policies continue to play a significant role in setting business strategy. I’m particularly watching how legislative and regulatory action will impact the businesses we serve and will be a critical driver of business growth and success.

Since October 2010, Fred has served as pro bono general counsel and ex-officio member of the Board of Directors of Home For Our Troops, Inc., whose mission is to build and donate specially adapted custom homes nationwide for severely injured post-9/11 veterans, to enable them to rebuild their lives. While headquartered in Massachusetts, HFOT’ s operations are national in scope.
Over his career, Fred has also served on the boards of a number of business and nonprofit organizations, including several manufacturing and distribution companies, a real estate management company, a media company, and a private, nonprofit 106-bed retirement and nursing home, from whose board Fred retired in 2016, after serving for over thirty years. Fred was actively involved in the American Red Cross for more than twenty-five years. He served as a member of its National Board of Governors from 1997 to 2003, serving at various times on the board's Executive and Finance committees and chairing its Governance and Strategic Planning committees. He has also served as chairman, treasurer, and Finance Committee chair for the Mass Bay Chapter of the American Red Cross, and has also held a number of other volunteer leadership positions within the Red Cross.
