Samuel Kim is a senior corporate associate in Nixon Peabody’s Chicago office. He focuses his practice on mergers and acquisitions and private equity in addition to transactional franchise and general corporate matters.
I have represented private equity funds and strategics in primarily mid-market mergers and acquisitions spanning across a broad range of industries, including technology, media and entertainment, fashion and vacation resorts. In these transactions, I strive to identify the salient deal points for clients and to develop approaches that adequately protect against risk while being acceptable to the applicable counter-parties.
I have represented motor vehicle manufacturers and distributors in their transactional franchise matters, including dealer buy-sells, ROFR exercises, dealer appointments and terminations, facility improvement agreements, satellite dealership locations and dealer agreements.
I also help companies that often have no, or leanly staffed, legal departments with their commercial agreements and general corporate matters. When working with these companies, I make it a priority to understand their business goals and the industry in which they operate, so I can help them achieve their goals in a manner that adequately limits their risk profile.
I anticipate an increasingly competitive deal and business environment, and the need for the business and legal parties involved to be agile and creative in closing transactions and generating returns.
