Introduction
Kadeem Apply is a member of Nixon Peabody’s Corporate Practice Group. He advises public and private companies, as well as venture capital and private equity firms and founders, in a wide spectrum of corporate and transactional matters, including mergers and acquisitions, venture capital financings, corporate restructuring, and general corporate governance. Kadeem also advises emerging growth companies at every stage of their business lifecycles, from formation through seed and venture capital financings, securities offerings, and later-stage growth and exit planning.
My focus
I counsel public and private companies about a full range of corporate and business law matters, with a focus on drafting definitive agreements and organizational documents, and leading due diligence in M&A transactions. My practice spans the entire business lifecycle, including entity formation and corporate governance, as well as complex mergers, acquisitions, restructurings, and structural considerations. I also execute venture capital financings and security offerings, and have experience in negotiating NVCA-based agreements, term sheets, convertible notes, SAFEs, and standard investor questionnaires.
Looking ahead
I see technology, AI, and the expanding energy sector driving significant shifts in the M&A and venture capital markets. I expect these trends to influence deal structures, valuations, and investment strategies, creating new opportunities for companies and investors throughout industries.
I also anticipate growing interest in sports-related assets, as opportunities around Name, Image, Likeness (NIL) rights and other emerging areas continue to create new avenues for investment. I believe these developments will help reshape emerging asset classes and open innovative paths for growth and value creation.
