I represent both public and private companies in a variety of matters, including financings, mergers and acquisitions, and strategic alliances. I am particularly experienced in guiding growth-stage companies through equity financings and day-to-day corporate governance matters.

In the venture sector, I represent emerging and high-growth companies and the venture capital and debt investors that fund them through every stage of the investment lifecycle. My experience includes drafting term sheets, financing agreements, disclosure schedules, and corporate governance documents for venture capital and debt transactions that align with the parties’ terms. Additionally, I prepare and review nondisclosure, confidentiality, employment, and independent contractor agreements that safeguard clients’ proprietary information and workforce interests while advancing their broader financing objectives.
