Introduction
Sophie Morgan primarily assists banks and other financial institutions acting as corporate trustees, fiduciaries, or agents in asset-backed securitizations, collateralized loan and debt obligations, and other alternative structure transactions. She also assists both corporate borrowers in asset-based and mortgage-backed commercial loan transactions and banks and other institutions in complex lending arrangements.
My focus
I represent corporate trustees in securitization transactions across financial products, including, but not limited to, collateralized loan obligations and asset-backed securities. I am also highly skilled in drafting and negotiating credit facility documents and entity documents and in reviewing due diligence in connection with commercial loans, reorganizations, and existing borrower acquisitions of subsidiaries. Additionally, I have experience providing legal advice to entities outside of the United States, specifically in Latin America, the Caribbean, and Africa on a wide range of matters.

Our team will continue to focus on, monitor, and learn from the business and legal challenges that corporate trustees encounter in the structured finance market in order to properly advise and guide our clients through ever-changing financial and regulatory landscapes, while aiming to mitigate risks that these changes may bring.
