Matthew represents public and private companies, private equity sponsors, and venture-backed businesses in mergers and acquisitions, preferred equity and growth investments, and the corporate governance matters that come with them.
My focus
I serve as day-to-day corporate counsel to companies and investors across the deal lifecycle — from entity formation and early-stage financings through growth equity rounds, strategic M&A, and exit transactions. My work centers on private M&A (buy-side and sell-side), private equity investments (including preferred equity and structured minority investments), and venture capital financings for both issuers and investors. I also advise portfolio companies and their boards on the governance issues that surface between transactions: board consents, executive transitions, entity restructurings, charter amendments, and the commercial agreements that keep businesses moving. Clients rely on me for practical, execution-oriented counsel — clean drafting, disciplined diligence, and closing deals on time.
Looking ahead
With financing markets stabilizing, I expect a measured pickup in deal flow through 2026, led by private capital, sponsor add-ons, and carveouts. Private credit should remain a key lender as regulatory scrutiny stays high— particularly in tech, healthcare, and critical supply chains, including cross-border reviews. Activity will center on AI enablement, energy transition, and supply chain resilience, with selective distress. My focus is practical, execution-oriented counsel to get deals closed.
