    /My focus

    Mergers and Acquisitions

Throughout my career, I have advised a wide range of M&A clients, both strategic and financial, in acquisitions and divestitures that they are considering, with purchase prices ranging from very modest valuations to billions of dollars. In a recent transaction, I helped our public-company client carve-out and sell a business line to a private equity-backed acquirer for $900 million.

I represent clients in a variety of industries, with a particular emphasis on sports, food and beverage, healthcare, and security services. In each transaction, I manage my NP team from the beginning of the deal to the closing, while always focusing on my clients’ business objectives.

    Private Equity and Family Office

I represent private equity investors and family office clients in a variety of transactions, including managing corporate matters and exit and investment transactions.

    General Corporate Work

On an ongoing basis, I serve as outside general counsel for early- to late-stage companies, which includes assisting with corporate formation and governance items, executive and incentive compensation, commercial agreements, and other ongoing general corporate matters.

    Sports

I partner with clients in the sports industry on strategic transactions and capital raising initiatives, including fund formation, investment structuring, and financing across the capital stack. My work spans governance and regulatory matters, investor engagement, and deal negotiation to support growth, value creation, and expansion across the broader sports ecosystem.

Sports have always been a central part of my life, which makes the intersection of sports and private equity especially appealing to me. Both professional and college sports continue to present compelling opportunities, but capitalizing on them requires thoughtful strategic planning and a deep understanding of the sports industry’s unique dynamics.

    /Representative experience

    • Represented a family office and investment manager in the formation and structuring of a specialized investment fund focused on sports-related assets and ventures. We provided strategic counsel on fund governance, regulatory compliance, and investor onboarding, enabling the client to establish a robust platform for capital deployment in the sports industry.
    • Represented a company specializing in high-value sports memorabilia in structuring and sourcing financing across the capital stack, including debt, equity, and hybrid instruments. We also advised the client on capital-stack optimization and investor engagement strategies to support expansion initiatives, inventory acquisition, and digital platform development.
    • Represented SAES Getters S.p.A. on the sale of its Nitinol business and, in particular, of the U.S. subsidiaries Memry Corporation and SAES Smart Materials, Inc., to Resonetics, LLC.
    • Represented a New York limited partnership focused on reproductive endocrinology, fertility, and urology in the sale of 100% of the equity in the company.
    • Represented Granite Recovery Centers, a New Hampshire-based operator of residential treatment facilities and sober homes, in its sale to BayMark Health Services, an addiction treatment business.
    • Represented a Boston real estate investment firm in closing a transaction in which a Tokyo, Japan-based international financial services company acquired 100% of the partnership interests from one of the seller’s affiliate companies.
    • Represented a productivity and risk management software company for multi-family asset managers who entered into an agreement in which all of their intellectual property for a certain part of the platform was purchased by a product engineering and software development company.
    • Represented American Laboratory Products Company, Ltd., a specialty in vitro diagnostics company, with its sale through an LBO, as part of a majority recapitalization of the company by Ampersand Capital Partners, a middle market private equity firm dedicated to growth-oriented investments in the healthcare sector.
    • Represented a wholesale food company with an internal corporate reorganization where certain operating assets of our client’s business were transferred and contributed to a new legal entity and an entity that is under common control with our client.
    • Represented a fund in a secondary GP-led restructuring transaction for up to 100% of the limited partnership interests of a private equity firm.
    • Represented our client in connection with the purchase of 70% of a New Jersey-based LLC distributer of Italian foods and Italy’s largest producer of cooked and sliced hams and Italian meats.

    /Looking ahead

I expect to see private equity investment in sports continue to surge in 2026, driven by escalating franchise valuations, global expansion of leagues, and the continued monetization of streaming and media rights. Institutional capital will play a larger role in shaping ownership models, while innovative deal structures—such as minority stakes and joint ventures—open new pathways for investors. At the same time, the rapid professionalization of college athletics through NIL platforms, conference realignment, and private capital-backed infrastructure will create a new frontier for sports investors. Sports will evolve into a dynamic asset class, blending traditional investment with emerging technology and fan engagement opportunities.
