Introduction
Patrick Toolan is an associate on Nixon Peabody’s M&A and Corporate Transactions Team. Patrick advises strategic acquirers, private equity sponsors, and portfolio companies on a wide range of complex corporate transactions. His experience includes domestic and cross-border mergers and acquisitions, platform and bolt-on acquisitions, carve-outs, divestitures, competitive sale processes, and general corporate governance matters.
My focus
STRATEGIC ACQUIRERS AND PUBLIC COMPANY M&A
I represent strategic acquirers, including publicly traded companies, in significant acquisitions, carve-outs, and divestitures across regulated and technical industries such as specialty chemicals, advanced materials, aerospace and defense, and medical technology. These transactions demand coordination across financing, regulatory, and diligence workstreams. I focus on the deal terms that determine how transactions actually perform, including purchase price mechanics, indemnification and escrow structures, and closing conditions.
PLATFORM ACQUISITIONS AND SPONSOR-BACKED GROWTH
I represent private equity sponsors and their portfolio companies in platform acquisitions and add-on growth strategies, helping clients execute roll-up programs efficiently and consistently across multiple transactions. I am equally experienced on the sell side, representing portfolio companies and founder-owned businesses in competitive auction processes and negotiated exits.
Representative experience
- Perimeter Solutions, Inc. (NYSE: PRM), an industrials holding company and manufacturer of global fire safety and specialty chemicals products, in its $685 million acquisition of Medical Manufacturing Technologies LLC from Arcline Investment Management
- Solenis, a provider of sustainable solutions for water-intensive industries and a portfolio company of Platinum Equity, in strategic acquisitions
- Globant (NYSE: GLOB), a global, publicly traded digitally native technology company, in strategic add-on acquisitions
- Pet Resort Hospitality Group and Trivest Partners in multiple acquisitions in the pet training and boarding business
Looking ahead
Despite geopolitical concerns and harsher market conditions, I expect M&A activity to remain strong as strategic and private equity buyers look to deploy capital and compete to acquire quality companies.
