Denise DeArmond is an associate in Nixon Peabody’s M&A and Corporate Transactions practice group. Denise represents businesses in commercial transactions, including mergers and acquisitions, and advises clients on general corporate matters and corporate governance.
I counsel public and private companies on corporate and business law matters, with a focus on providing strategically drafted agreements, organizational documents, and resolutions. Working with companies in a variety of industries, I assist clients by providing early risk detection and due diligence in middle- and upper-market M&A transactions.
I counsel nonprofits and private foundations on corporate governance matters, transactions, and restructuring. I also help clients start foundations and secure tax exempt status.
I advise early stage companies on choice of entity, entity formation, and general corporate law matters.
Both the United States and foreign governments are increasing their scrutiny of cross-border transactions. I expect this trend to increase in the foreseeable future. For strategic buyers and equity investors, this poses an additional hurdle to consummating deals.
