Anthony Bova is an associate in Nixon Peabody’s Corporate Transactions practice group. Anthony focuses his practice on a wide range of corporate matters, including mergers and acquisitions, corporate formation, joint ventures, and other commercial transactions.

What do you focus on?

General Corporate

I counsel public and private companies of all sizes in a variety of industries, including food and beverage, manufacturing, distribution (producers, suppliers, wholesalers, and retailers), and an array of professional services. I advise my clients on all aspects of their business, from choice of corporate form, initial governance, stock and option considerations, financing, contractual drafting and review, and employment issues to leasing and real estate transactions. I also represent buyers and sellers in strategic corporate transactions from start to finish.

Food and Beverage

For years I have represented local, national, and international alcoholic beverage companies in all three tiers—production, distribution, and retail—in a variety of matters involving licensing, wholesaler franchise-protection, compliance and risk-management, contractual preparation, and executive employment.

What do you see on the horizon?

Middle-market companies will continue to reinvent themselves in response to the many social, environmental, regulatory, and governance factors that demand their attention. As customers, vendors, investors, and the public at large increase their scrutiny on issues involving corporate culture, DE&I (diversity, equity, and inclusion), workforce safety and treatment, sustainability, climate change, and cybersecurity, market leaders must be thoughtful about how best to address these concerns within their particular business models. Careful legal guidance from seasoned business advisors will be a valuable tool for businesses prioritizing change.
