Introduction
Tyler Savage is a partner in the M&A and Corporate Transactions group. He has extensive experience in mergers, acquisitions, divestitures, securities, and private equity deals. Tyler’s practice spans multiple industries, including food and beverage, technology, manufacturing, industrials, construction materials, professional services, and professional sports franchises.
My focus
I represent private and public companies on a wide range of corporate transactions, including mergers and acquisitions, recapitalizations, restructurings, and dispositions, both in the US and internationally.
I have represented companies at all stages of growth, as well as the venture and private equity funds that invest in them. In addition to my transactional practice, I advise clients on a variety of value-added day-to-day matters, including governance matters, large-scale commercial agreements with vendors and suppliers, as well as issues related to manufacturing, research, and development.
As a trusted advisor to my clients, my goal is to develop a deep knowledge of my clients goals and provide meaningful and strategic solutions.
MERGERS AND ACQUISITIONS
I partner with my clients to achieve positive outcomes, advising on both buy-side and sell-side M&A transactions. I work side by side with clients on acquisitions, divestitures, mergers, and strategic investments, guiding them from deal strategy and diligence through negotiation, structuring, and closing. I am known to my clients as a practical, business-minded counsel, providing value-added guidance throughout every phase of the transactional lifecycle, including governance, risk allocation, and post-closing integration.
EXITS AND ROLLOVER TRANSACTIONS
I help my clients realize and monetize the value of their long-term investments. When equity holders are positioned to exit their investments, I work with them to effectuate the sale of valuable assets or ownership interests, enabling clients to extract maximum value, while mitigating the ongoing risk associated with the business. For example, I regularly represent sellers and management teams in structuring rollover equity transactions, assisting clients in the reinvestment of a portion of their proceeds into the post-transaction business to align incentives, support operational continuity, and enable participation in future growth.
CAPITAL RAISES AND INVESTMENTS
I advise companies and investors on fundraising and investment matters, including seed-and growth-equity financings, minority investments, and strategic capital raises. I also advise and collaborate with companies on designing equity awards for key individuals contributing to the companies’ growth.
Representative experience
Tyler’s M&A and corporate experience includes the following representative matters across various industries:
- Ongoing representation of public companies with respect to general corporate governance and risk mitigation strategies.
- Ongoing representation of private companies with respect to their day-to-day business operations, governance matters, and risk mitigation.
- Represented sellers in the sale of founder- and family-owned businesses to strategic buyers and private equity sponsors.
- Advised buyers in platform acquisitions and add-on acquisitions, including diligence, purchase agreement negotiation, and post-closing integration planning.
- Represented management teams and rollover investors in connection with sponsor-backed acquisitions, including rollover equity and continuing employment arrangements.
- Counseled clients on asset purchases and carve-out divestitures, including transition services agreements and separation issues.
- Advised on mergers and strategic combinations, including deal structuring, governance, and risk allocation (representations and warranties, indemnities, escrows).
- Represented clients in cross-border acquisitions, coordinating local counsel and addressing regulatory, tax, and closing mechanics.
- Represented emerging growth companies in seed and Series-A-preferred equity financings, including negotiating the full suite of investment agreements.
- Advised issuers on growth-stage capital raises and strategic minority investments, including structuring, governance rights, and protective provisions.
- Represented private equity and venture capital investors in minority equity investments, including diligence, subscription documentation, and side letters.
- Advised founders and management teams on equity incentive plans and related grants in connection with financings and investments.
- Represented companies in follow-on financings and recapitalizations, including amendments to charter documents, preferred investor agreements, and necessary investor consents.
Looking ahead
A complex geopolitical environment is shaping the dealmaking environment. Supply-chain realignment, shifting trade and sanctions regimes, and heightened regulatory scrutiny are all influencing how parties evaluate risk, pricing, and timelines—particularly in cross-border transactions.
At the same time, domestic conditions continue to drive opportunity. Companies are pursuing strategic combinations to build resilience, private capital remains active, and founders and management teams are increasingly focused on liquidity options that preserve upside through rollover equity and minority investments.
Against this backdrop, my M&A practice is centered on helping buyers, sellers, and investors execute transactions. I focus on clear risk allocation, efficient processes, and deal structures that support long-term growth—whether through acquisitions and divestitures, sponsor-backed deals, or fundraising and strategic capital raises.
