    Introduction

    Conrad Adkins is partner in Nixon Peabody’s Corporate Practice Group. Conrad has extensive experience in domestic and cross-border corporate transactions, including mergers and acquisitions, securities, international business, corporate restructurings, and general corporate governance and finance matters.

    /My focus

    Securities

    I advise publicly traded companies in complying with their ongoing disclosure obligations under the U.S. federal securities laws and NYSE and NASDAQ listing rules. In particular, I have significant experience in advising on securities laws issues applicable to companies with foreign private issuer status and that maintain ADR programs. I also provide advice about raising capital, working with public and private companies in connection with the issuance of equity and debt securities.

    Mergers and Acquisitions

    I represent acquirers and targets in a diverse range of industries on public and private mergers. I have significant experience in advising about all aspects of the M&A deal cycle (asset, stock, real estate, buy and sell side, U.S. and cross-border), including negotiation, document drafting, transaction financing, coordination of due diligence teams, and project management.

    General Business Counseling

    I help domestic and foreign middle-market companies with a variety of corporate agreements and day-to-day legal matters that include assisting with corporate formation and governance items, executive and incentive compensation, commercial agreements, and other ongoing general corporate matters.

    Commercial Contracts and Transactions

    I assist clients with the drafting, negotiation, and maintenance of various service and supply agreements and other commercial contracts, including procurement and marketing/advertising agreements, and real estate, construction, transportation, and logistics contracts.

    /Looking ahead

    As the volume of transactions with cross-border aspects continue to increase, the ability to execute on complex transactions (whether as an investor or in an M&A context) requires sophisticated legal counsel that has familiarity with such transactions and can provide the right practical strategies and resources to execute in a timely and efficient manner.
