Nicholas Gerlach is a partner in Nixon Peabody’s Corporate practice group and a member of the firm’s Tax team. Working closely with corporate, private equity, real estate, and finance teams, Nick advises clients across both public and private markets on tax considerations throughout the lifecycle of complex deals.
My focus
I serve as a key member of corporate, private equity, real estate, and finance teams representing clients in a wide range of transactions, including acquisitions, partnership formations, joint ventures, restructurings, fund formations, spin-offs, redemptions, and hybrid transactions. Focusing on the intersection between corporate and partnership tax, I provide practical and business-driven tax solutions directed towards my clients’ goals.
Providing counsel on everything from structuring a company acquisition to optimizing private deal economics and preserving and maximizing QSBS (qualified small business stock) benefits, my counsel allows clients to execute efficiently, manage risk, and protect long-term value.
With a broad tax skill set, I pride myself on my ability to translate technical tax concepts into practical guidance on a range of issues, including corporate tax, S-corporations, partnership tax, state and local tax, representation and warranties, tax insurance, and tax due diligence for buyers.
Looking ahead
Corporate tax planning will continue to inform the way clients time and structure transactions, particularly in mergers and acquisitions and private company exits. Enhanced QSBS incentives, sustained IRS focus on complex transactions and partnerships, and evolving entity-choice considerations are driving earlier, more strategic tax planning to preserve value, manage risk, and maximize after-tax returns.
