I am a relationship-driven attorney and strategic advisor who is committed to consistently delivering value and providing concierge-level service to clients. My practice focuses on four primary areas:

CORPORATE TRUST

I represent major financial institutions and trust companies across a broad spectrum of financing and restructuring transactions, serving in agency and fiduciary roles including trustee, administrative agent, collateral agent, intercreditor agent, account bank, paying agent, exchange agent, tender agent, and escrow agent. My experience spans corporate and municipal debt issuances, project financings—including cross-border work in Latin America—private placements, escrow arrangements, mergers and acquisitions, and asset-backed securitizations.

BUSINESS AVIATION

I counsel lenders, owners, operators, family offices, manufacturers, and other financial institutions on matters spanning the full aircraft lifecycle—from acquisition and disposition to leasing, financing arrangements, and day-to-day operational issues, including transactions involving fractional aircraft interests.

SPORTS AND ENTERTAINMENT

I advise sports agencies, professional sports teams, minor league sports teams, current and former athletes, ownership groups, musicians, authors, entertainment personalities, news organizations, and a variety of other individuals and entities in the sports and entertainment industry with respect to a wide range of matters, ranging from strategic entity formation for NIL purposes to investment and endorsement transactions. 

GENERAL CORPORATE

Finally, I have substantial experience guiding companies through every stage of their corporate life cycle, serving as outside general counsel across a variety of industries, including manufacturing and artificial intelligence. This work spans pre-incorporation planning, ongoing corporate representation and counseling, venture capital financings, structuring and negotiating complex commercial transactions, and mergers and acquisitions.

/Looking ahead

Our corporate trust clients are operating within the tension of two distinct and ascendant dynamics, especially in the project finance space: a level of uncertain economic uncertainty and a shifting energy policy landscape on the one hand and growing demand for energy-transition projects and AI-driven data centers on the other.

In sports, the intersection of the continuation of the current “athlete empowerment era,” post-House Settlement fallout, and increase in athlete biometric data appears to be providing both opportunities and challenges to athletes, investors, institutions, and others across the sports landscape.

Finally, the private aviation industry faces mounting complexity around aircraft finance and leasing in an environment of new-technology and sustainable aircraft, expanding privacy/cybersecurity obligations tied to connected aircraft and data collection, and continued litigation fallout from major manufacturer defect cases.
