Introduction
Elizabeth O. Nwabueze is an associate in Nixon Peabody’s Corporate Transactions practice group. Elizabeth represents private investment funds, public pension plans, and other institutional investors across the investment fund lifecycle and advises fund sponsors on the formation of private investment funds across multiple strategies.
My focus
I represent clients, including institutional investors, fund sponsors, and alternative asset managers, in the structuring, negotiation, fundraising, and ongoing monitoring of commitments across a broad spectrum of investment funds, including private equity, hedge, real estate, credit, and hybrid vehicles.
I advise clients on fund documentation relating to the formation, structuring, fundraising, and ongoing operation of private investment funds, tailoring fund terms to clients’ investment objectives, internal governance policies, fiduciary duties, and applicable statutory requirements.
I also counsel institutional investors on regulatory and compliance matters under the Investment Advisers Act and Investment Company Act, as well as related regulatory considerations.
Looking ahead
As private markets continue to evolve, private credit, hybrid strategies, and liquidity solutions such as secondary and continuation vehicles continue to play a significant role in how institutional investors deploy capital, and newer fund structures increasingly combine elements of private equity, private credit, and real assets. We expect sponsors and institutional investors to respond by continuing to diversify fund structures and strategies while placing increased focus on regulatory compliance, disclosure, governance, and operational resilience.
