My focus
I represent acquirers and targets in a diverse range of industries in connection with strategic corporate transactions, including mergers and acquisitions, joint ventures, and divestitures.
I represent startup and emerging companies as well as the venture and private equity funds that invest in them. I manage venture capital financings and act as outside general counsel to a wide range of emerging growth companies, guiding them from formation through scaling to an eventual exit. I also advise on general corporate governance issues.

Mergers and Acquisitions
- Represent a private equity firm in its purchase of a leading contract manufacturer in the nutritional supplement industry, serving some of the largest nutrition and supplement brands worldwide.
- Represent a European corporation in the add-on acquisition of a US-based ceramic tile and glass manufacturing and distribution company based in the Midwest.
- Represent a microchip manufacturer, providing facility construction management services, in its sale to global construction/semiconductor consultancy firm.
- Represent Champion Contractors & Services, LLC, a leading provider of high-performance roofing solutions for commercial and multifamily properties nationwide, in the sale of its membership interests to Partners LLC, a Houston, Texas-based private equity firm.
- Represent TDK USA Corporation, through a subsidiary entity, TDK-Lamda Americas Inc., in its acquisition of QEI Corp., a leading RF power delivery equipment supplier.
- Represent Schwing Electrical Supply Corp., a leading electrical distributor throughout Long Island, New York, in the sale of 100% of its equity to Rexel USA, a strategic buyer and leader in electrical distribution.
- Represent a major public scientific instruments manufacturing company in numerous corporate transactions and investments.
- Represent a private equity company in its acquisition of a leading provider of branded, private-label, and contract- manufactured frozen food.
Venture Capital
- Represent an emerging growth medical device startup company in a Series A equity financing round.
- Represent a biochemical engineering startup company in initial formation and Series Seed investment round.
- Represent a venture capital fund as the lead investor in a Series A equity financing round of a startup prosthetic and medical device company.
- Represent a venture capital fund as lead investor in Series Seed equity financing round of an Insurtech company.
- Represent a venture capital fund as lead investor in Series B and Series B-1 equity financing rounds of a reinsurance company.
- Represent the founders of a technology and media sales company in capital raising and multiple equity financing rounds.
- Represent the founder of a software development outsourcing company in Series Seed capital-raising, mezzanine financing, and equity financing rounds.

As the mergers and acquisitions landscape continues to evolve, I remain focused on guiding clients through an increasingly complex deal environment. With shifting regulatory frameworks, heightened antitrust scrutiny, and the growing influence of emerging technologies, such as artificial intelligence, on due diligence and transaction structuring, the ability to anticipate and adapt has never been more critical.
